1. Introduction

Welcome to FanTwinAI! These Terms & Conditions ("Terms") govern your access to and use of our website www.fantwinai.com (the "Site") and our services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Services.

2. Definitions

  • FanTwinAI: Refers to the company FanTwinAI Corporation, its website, platform, intellectual properties, and services.

  • Services: Refers to all services provided by FanTwinAI, including FIDT assessments, community features, Creator_Fan Hubs, Fan Asset creation and management tools, and any other features or functionalities offered on the platform.

  • Fan Asset: Refers to any digital or physical creation co-created by fans and fan-based entities, including but not limited to merchandise, content, experiences, and digital collectibles.

  • FIDT: Refers to Fan Identity Type, a unique profile that captures a fan's passions, talents, and aspirations within their fandom.

  • Creator_Fan: Refers to a fan who actively participates in the creation and contribution of Fan Assets and experiences within their fandom.

  • FBE: Refers to Fan-Based Entity, which includes sports teams, artists, brands, suppliers, publishers, and other organizations that engage with fans.

3. Account Creation, Subscription and Use

  • Eligibility: You must be at least seventeen (17) years old to use the Services. By creating an account, you represent and warrant that you are eligible to use the Services and that all information you provide is accurate and complete.

  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify FanTwinAI immediately of any unauthorized access or use of your account.

  • Your subscription automatically renews and you will be automatically billed until we receive notification that you want to cancel the subscription.

  • To cancel your subscription, please follow these steps: (1.) Monthly subscription can be cancelled at any time, all subscription fees paid prior to cancellation are non-refundable.  (2.) Annual subscription fees can be cancelled prior to first ninety (90) days of the subscription with a partial refund of fifty percent (50.0%), thereafter, all fees are non-refundable.

4. User Content

  • Ownership: You retain ownership of any content you create, share, or upload on the platform ("User Content"). However, you grant FanTwinAI a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content for the purpose of providing and improving the Services.

  • Responsibility: You are solely responsible for your User Content and its compliance with all applicable laws and regulations. You agree not to post any content that is illegal, harmful, defamatory, or infringing upon the rights of others.

5. Fan Assets

  • Co-creation: FanTwinAI facilitates the co-creation of Fan Assets between fans and FBEs. The ownership and intellectual property rights of Fan Assets will be determined by the specific agreements between the parties involved.

  • Management: FanTwinAI provides tools and services for fans to manage their Fan Assets, including storage, display, and potential monetization options.

6. FIDTs and Personalization

  • FIDT Assessment: FanTwinAI uses AI to generate FIDTs based on information provided by users. These FIDTs are used to personalize the fan experience, recommend relevant opportunities, and connect fans with like-minded communities.

  • Privacy: FanTwinAI is committed to protecting user privacy. Please refer to our Privacy Policy for details on how we collect, use, and protect your personal data.


 

7. Creator_Fan Hubs

  • Collaboration: Creator_Fan Hubs are dedicated spaces for fans to connect and collaborate with FBEs. Participation in these Hubs is subject to the specific terms and conditions set by the FBE.

  • Co-creation: Fans may have the opportunity to co-create Fan Assets and experiences within Creator_Fan Hubs, subject to agreements with the FBE.

8. Prohibited Activities

You agree not to:

  • Use the Services for any illegal or unauthorized purpose.

  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.

  • Harass or bully any person or entity associated with the site.

  • Interfere with or disrupt the Services or servers or networks connected to the Services.

  • Violate any applicable laws or regulations.

9. Termination

FanTwinAI may terminate your access to the Services at any time for any reason, including violation of these Terms.

10. Disclaimer

The Services are provided "as is" and without warranty of any kind. FanTwinAI disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

FanTwinAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

12. Indemnification

You agree to indemnify and hold FanTwinAI harmless from any claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of or related to your use of the Services or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

​

14. Dispute Resolution

Any dispute arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association.

15. Entire Agreement

These Terms constitute the entire agreement between you and FanTwinAI relating to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

17. Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

18. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:

19. Changes to These Terms

FanTwinAI reserves the right to modify these Terms at any time in its sole discretion. Any changes to these Terms will be effective upon posting of the revised Terms on the Site. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the revised Terms.
